Terms of Service

By accessing and using Moolyka ("Platform"), operated by Tideflash ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you disagree with any part, you may not access our services.

Moolyka is an impact-to-commerce platform connecting donors, beneficiaries, and suppliers. Our mission is to illuminate African initiatives through transparent, item-specific donations using blockchain technology.

2.1 Account Creation

To access certain features (donation history, transaction tracking, impact reports), you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

2.2 Account Types

We offer three types of accounts:

Registered donors can access:

• Complete donation history (all payments and orders)
• Transaction records for tax purposes
• Track delivery status of donated items
• Download receipts and impact reports
• Save favorite projects and suppliers
• Update payment preferences

3.1 Payment Methods

We accept:

• M-Pesa (Mobile Money - Kenya)
• Credit/Debit Cards (Visa, Mastercard)
• Cryptocurrency (Ethereum, Binance Smart Chain, Solana, Celo, Polygon, OKTC)
• Bank Transfers (for institutional donors)

3.2 Donation Process

When you donate:

1. You select specific items from verified supplier listings
2. Payment is processed through SMPLY Pay (Tideflash's secure payment system)
3. Crypto donations are automatically converted to fiat at market rates
4. Funds are held in escrow until delivery confirmation
5. Suppliers receive payment upon verified delivery to beneficiaries
6. All transactions are recorded on blockchain for transparency

3.3 Fees & Charges

Fees are clearly displayed before checkout. You may choose to cover additional fees to ensure 100% of your intended donation reaches the beneficiary.

3.4 Refunds & Cancellations

Donations are generally non-refundable except in the following circumstances:

• If a project fails verification within 7 days of donation
• Technical error causing duplicate charges
• Fraudulent transactions (subject to investigation)
• Supplier fails to deliver within 30 days (funds returned to donor)

To request a refund, contact support@moolyka.com within 14 days of the transaction.

4.1 Project Verification

All projects undergo verification including:

• Documentation and registration review
• Site verification where applicable
• Beneficiary needs assessment
• Ongoing monitoring and reporting requirements

Verification indicates the project has met our eligibility criteria but does not guarantee outcomes or make us liable for project performance.

4.2 Supplier Requirements

Businesses listing products must:

• Be legally registered in an African country
• Provide quality products/services meeting described specifications
• Maintain fair and transparent pricing
• Honor delivery commitments within stated timeframes
• Use SMPLY Store ERP for order management
• Comply with applicable laws and regulations

All content on Moolyka (logos, text, graphics, software, trademarks) is owned by Tideflash or licensed to us. Users retain rights to their uploaded content but grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and promote it in connection with our services.

You may not copy, modify, distribute, sell, or lease any part of our platform without express written permission.

You agree not to:

• Use the platform for illegal purposes under Kenyan or international law
• Impersonate any person or entity or misrepresent affiliation
• Upload harmful content (malware, viruses, malicious code)
• Harass, threaten, or abuse other users
• Attempt to circumvent security measures or access unauthorized areas
• Engage in fraudulent fundraising or misrepresentation
• Scrape, crawl, or spider any part of the platform
• Interfere with others' use of the platform

Violation may result in immediate account termination and legal action.

We may terminate or suspend your account immediately without notice for conduct violating these Terms, including fraudulent activity or misuse. Upon termination, your right to use the Platform ceases immediately. Sections regarding liability, intellectual property, and governing law survive termination.

• A party to any agreement between donors, beneficiaries, and suppliers
• Responsible for the quality, safety, or delivery of items from suppliers
• Liable for the actions or omissions of beneficiaries or their representatives
• Responsible for outcomes of funded projects
• Associated with initiatives beyond providing the platform

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

• Uninterrupted or error-free service
• Accuracy of project or product information provided by third parties
• Success or completion of funded initiatives
• Product quality, safety, or fitness for purpose from suppliers
• That blockchain transactions will be confirmed within specific timeframes

Users are responsible for conducting their own due diligence before donating or entering into agreements with other users.

TO THE MAXIMUM EXTENT PERMITTED BY KENYAN LAW, TIDEFLASH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Damages from project failure or supplier non-performance
• Blockchain network delays or failures
• Unauthorized access to your account
• Third-party claims

OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE SIX MONTHS PRECEDING THE CLAIM.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, including but not limited to:

• The Kenya Data Protection Act, 2019
• The Computer Misuse and Cybercrimes Act, 2018
• The Consumer Protection Act, 2012
• The Companies Act, 2015

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya. Users agree to submit to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or platform notification within 30 days before changes take effect. Continued use after changes constitutes acceptance. If you do not agree, you may terminate your account before changes take effect.
